These Terms of Service ("Terms") govern access to and use of Pastor Echoes (the "Service"), operated by Unbalanced Force Dynamics, LLC ("UF," "we," "us"). By accepting these Terms — including by clicking "Accept" or by using the Service — the church or organization identified at acceptance ("Church," "you") agrees to be bound by them. The person accepting represents that they are authorized to bind the Church.
Pastor Echoes receives a Church's own sermon library from the Church, hosts and serves that video and audio on the Church's behalf, and transcribes, corrects, cleans, segments ("chunks"), summarizes, embeds (as numerical vectors), and indexes that material to provide pastor-facing research and search tools; a member-facing page (the "Valley of Echoes"); short sermon moments ("Echoes"); searchable illustrations ("Stories"); and related features. The Service is delivered as a hosted subscription, and may be improved or changed over time.
We host the media ourselves. Sermons delivered to us are stored, encoded, and played back from infrastructure operated or contracted by UF. The Service does not depend on, integrate with, or stream from any third-party video platform, and does not require the Church to maintain an account on one.
The Church delivers its sermon library to UF. The Church may deliver from wherever its recordings are held today — its own drives or servers, a network or cloud storage account, or by exporting its own library from an online video platform using that platform's own owner-export tool. UF will provide a secure delivery destination and instructions.
The Church must be the owner of, or otherwise authorized to export and supply, everything it delivers. UF does not download, scrape, or otherwise retrieve the Church's recordings from any third-party platform on the Church's behalf, and the Church will not ask UF to do so. Delivery is performed by the Church, using tools the Church is entitled to use.
UF is not a backup or archival service. The Church must retain its own master copies of its recordings. UF does not warrant the preservation of Church Media and is not liable for its loss.
The Church grants UF a non-exclusive, worldwide, royalty-free license, for the term of the subscription and for the purpose of providing and improving the Service, to:
This license exists so that UF can lawfully hold and play the Church's sermons for the Church's own congregation. UF does not license the Church Media to third parties, does not sell it, does not place advertising on or around it, and does not use it to promote any church other than the Church itself — except with the Church's separate, written, revocable permission (for example, if a Church agrees to let its Valley be shown as a reference example). The license terminates with the subscription, subject to Section 12.
This Section is the basis on which UF agrees to host the Church's media. The Church represents and warrants, for everything it delivers, that:
The Church is solely responsible for the content of its recordings. If the Church cannot make these representations about a particular recording, it must not deliver that recording.
Screening. UF applies reasonable safeguards to Church Media and generally reviews it before it is made available for playback; however, UF has no obligation to monitor, pre-screen, or affirmatively search Church Media, does not guarantee that it will detect any particular material, and the Church does not rely on UF to do so. UF reserves the right, in its sole discretion, to quarantine, refuse to host, or remove any material it believes to be unlawful, to infringe a third party's rights, or to violate these Terms. If UF obtains actual knowledge of apparent child sexual abuse material or other unlawful content, it will remove that material from serving and report it to the appropriate authorities as required by law (including the NCMEC CyberTipline under 18 U.S.C. §2258A). Any screening UF performs is a discretionary safeguard for UF and the Church; it does not transfer responsibility for the content to UF, and the Church remains solely responsible under Sections 5 and 13.
Publication control. Nothing is shown to Members until the Church releases it. The Church decides which sermons, Echoes, and Stories are published, and may unpublish or suppress any item at any time. The Church may direct UF to delete any sermon from the Service, and UF will remove it from serving and from its active systems within a commercially reasonable period.
Takedown. If UF receives a credible claim that hosted material infringes a third party's rights, UF may remove or disable access to that material and will notify the Church. Notices may be sent to the contact address in Section 20.
As between the parties, the Church retains ownership of its underlying Church Content and Church Media (its sermon recordings and its own branding/marks). UF's hosting of a copy does not transfer ownership of the recordings to UF.
All Derived Data — the transcripts, cleaned text, chunks, embeddings, indices, Echo boundaries, Stories, and all other artifacts produced by the Service — are created by UF's proprietary systems and are owned by UF / Pastor Echoes. Derived Data is an integral, inseparable part of the subscribed system.
Upon expiration or termination of the subscription, the Church's access to the Service and the Derived Data ends, but the Derived Data itself remains the property of UF and may be retained by UF as part of the system. The Church is not entitled to receive, export, or continue using the Derived Data (transcripts, chunks, embeddings, indices, Stories) after termination. This Section 7 survives termination.
UF owns all rights in the Service, its software, models, pipelines, prompts, and infrastructure. No rights are granted except the limited right to use the Service during a paid subscription.
The Church may always keep and use its own recordings from its own sources and master copies. Section 7.3 concerns only the Derived Data produced by the Service, never the Church's underlying sermons.
The Service is offered on a month-to-month subscription at the then-current price, billed in advance via our payment processor. The Church may cancel at any time, effective at the end of the current billing period. Fees are non-refundable except where required by law. Failure to pay may result in suspension or termination and loss of access under Section 7.3.
Member privacy is a core design principle. In summary: Members use the public Valley of Echoes anonymously — no accounts, names, logins, or personal profiles; the Service does not track or profile Members or sell data; engagement is recorded only in aggregate, anonymous form; and a Member's favorites are stored on their own device. Because UF serves the sermon video itself, playback places no third-party advertising and no third-party tracking on a Member. Full detail is in our Privacy Policy.
The Church and its Authorized Users will not misuse or disrupt the Service; reverse engineer or extract the underlying models, embeddings, or indices except as the Service permits; deliver or upload content they lack the rights to; or use the Service to violate law or third-party rights.
Each party will protect the other's non-public information disclosed in connection with the Service. UF's confidential information includes the Service, its models, pipelines, and Derived Data systems.
On cancellation or termination, UF stops serving the Church Media to Members and the Valley of Echoes goes dark. UF may retain the stored Church Media for a limited period so that a returning Church is not required to re-deliver its entire library. The Church may request deletion of its Church Media at any time, and UF will delete it from its active systems within a commercially reasonable period, subject to routine backup cycles and any retention required by law.
Retention is a convenience, not a commitment: as stated in Section 3, UF is not a backup or archival service, and the Church must keep its own master copies.
The Church will indemnify, defend, and hold UF harmless against claims, damages, and costs arising from the Church Content or Church Media, or from the Church's breach of these Terms — including claims that the Church lacked the rights in its sermon library required by Section 5, claims arising from music or other third-party material embedded in its recordings, and claims by individuals appearing in its recordings.
The Service is provided "as is" and "as available." UF disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. UF does not warrant that transcripts or AI-generated summaries are error-free, that playback will be uninterrupted, or that Church Media will be preserved.
To the maximum extent permitted by law, UF will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost or corrupted media. UF's total liability arising out of or relating to the Service will not exceed the fees paid by the Church in the twelve (12) months preceding the claim.
These Terms apply while the Church uses the Service. Either party may terminate as described in Section 8. Upon termination, access ends and Sections 5, 7, 11, 12, 13, 14, and 15 survive.
UF may update the Service and these Terms. Material changes will be communicated, and continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the United States and the state in which Unbalanced Force Dynamics, LLC is organized, without regard to conflict-of-laws rules.
By clicking "Accept," the Church creates a binding electronic signature under the E-SIGN Act (15 U.S.C. § 7001). The accepting person's name, IP address, user agent, the version of these Terms, and the time of acceptance are recorded as evidence of acceptance.
